Procurement and legal teams receive hundreds or even thousands of vendor contracts for evaluation and negotiation every year. Not only do new contracts need to be evaluated, but older master contracts governing amendments and statements of work also require review. At peak periods, workloads can be heavy, and teams stretched.
Fully deployable on AWS, SS&C's Vendor Contract Analysis Agent Agent conducts a preliminary review of the terms and conditions of a vendor’s contract. The agent automatically locates, downloads, reads and extracts data using an LLM to summarize long and complex legal contract terms in minutes. Operating 24/7, the agent identifies and reviews a wide range of required legal clauses such as indemnity, intellectual property and cancellation terms within multiple types of contract documents. It can also make recommendations for potential negotiation positions with the supplier. The agent will also flag when mandatory legal clauses are not present. The client can then pass the analysis file to legal teams to review ouputs.
